The Terms and Conditions, including the Privacy Policy, are a legal contract between you and the University Bureau that governs your use of the Services.

 

YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT BY CLICKING ON THE APPROPRIATE BUTTON WHEN SIGNING UP FOR THE SERVICES AND BY USING THE SERVICES.

 

YOU WILL NOT BE ALLOWED TO USE THE UNIVERSITY BUREAU IF YOU DO NOT ACCEPT AND AGREE TO BE BOUND BY THE AGREEMENT.

 

Except where prohibited by law, University Bureau has the right to amend the terms and conditions by posting a new version on the University Bureau website. If you continue to use or access the University Bureau after any modifications to the Agreement, you agree to them.

In these Terms and Conditions:

 

"Applicable Law" refers to any domestic or foreign law, rule, statute, subordinate legislation, regulation, bylaw, order, ordinance, protocol, code, guideline, treaty, policy, notice, direction, or judicial, arbitral, administrative, ministerial, or departmental judgment, award, decree, treaty, directive, or other requirement or guideline published or in force at any time during the term of this Agreement.

 

Any rule, order, judgment, directive, or other requirement or guideline issued by any Governmental or Regulatory Authority relates to or is otherwise intended to govern or regulate any person (including any Party), property, transaction, activity, event, or another thing. “University Bureau Partner” means any educational institution, company, organization, association, or individual that has agreed with University Bureau to use or promote the University Bureau or enable their employees or students to use it.

 

University Bureau website and Services and the Content contained therein, as they may be amended from time to time. 

 

"Confidential Information" includes the University Bureau, its business plan and strategy, any design, prototype, a compilation of information, data, program, method, invention, license, technique or process, information relating to any University Bureau service, University Bureau's software, website and web platform, client and user information, financial information, marketing information, and information relating to any University Bureau service. 

 

"Governmental or Regulatory Authority" means any national, provincial, territorial, state, country, municipal, quasi-governmental, or self-regulatory department, authority, organization, agency, commission, board, tribunal, dispute re panel or body, bureau, official, minister, Crown corporation, or court or other law, rule, or regulation-making entity having or purporting to have jurisdiction over University Bureau, you, or any other person, property, transaction, or other matter.

 

"Party" refers to each of the University Bureau and you individually, and "Parties" refers to the University Bureau and you.

 

"Personal Information" refers to information concerning a specific person.

 

"Program" refers to a study program, language program, or summer camp offered by the University Bureau Partners and one of the academic programs or a program specifically tailored to transition international students (often referred to as a route program).

 

"Recruiter" refers to any person or company you hire to represent you while applying to the University Bureau.

 

 

Services

 

The services described in this section of the University Bureau are referred to as "Services" and include the following:

 

University Bureau will provide you with access to certain information, material, or content (including pricing, features, promotions, and third-party information) contained on or provided through the University Bureau website (the "Content") to assist you in the process of becoming a student at certain University Bureau Partners in Canada, the United States, the United Kingdom, and Australia, including Program information;

 

University Bureau will enable you to input Your Data into the University Bureau and will function as an intermediary to send Your Data to the applicable University Bureau Partners so that you can apply to Programs offered by such University Bureau Partners (each, an "Application"); and

 

University Bureau will assist you with communications with the applicable University Bureau Partners, passing through Application fees and other payments associated with an Application, and providing guidance and advice associated with an Application, on a case-by-case basis, including through University Bureau as applicable.

 

Please keep in mind that the Services mentioned above are subject to the terms and conditions of this Agreement.

 

 

License to Use the University Bureau 

 

University Bureau hereby grants you a personal, non-exclusive, revocable, non-transferable license to access the University Bureau 

solely to use the Services, view the Content, and submit an Application to University Bureau Partners, subject to the terms and conditions of the Agreement and any restrictions contained in the Content.

 

 

Your Data

 

Your Data Must be Complete and Accurate; to use the University Bureau, you must:

 

provide up-to-date, complete, and accurate Personal Information and other data to the University Bureau, such as your name, contact information, citizenship and legal status, gender, date of birth, email address, telephone number, home and mailing address, marital status, emergency contact information, financial information, education qualification, employment information, educational information, transcript, English test score, passport, and other information required for visa application, including financial and medical information, as requested by University Bureau on University Bureau’s website, and as needed to process your Application;

 

where payment is required, provide up-to-date, complete, and accurate payment information as required by University Bureau or University Bureau’s third party payment processor, as applicable via a valid PayPal account, or credit card information for a credit card that is valid and legally registered to you); and

 

YOU MAY GET ALL REQUIRED PERMISSIONS FROM ANY AFFECTED THIRD PARTY, SUCH AS YOUR EDUCATIONAL INSTITUTION, FOR THE UNIVERSITY BUREAU TO COLLECT YOUR INFORMATION.

 

 

Control Over Your Information

 

Nothing in this document gives the University Bureau ownership of Your Data in its original form. IN ALL RELEVANT PERMISSIONS FROM ANY AFFECTED THIRD PARTY, SUCH AS YOUR EDUCATIONAL INSTITUTION, FOR UNIVERSITY BUREAU TO COLLECT YOUR DATA.

 

 

Ownership of Your Data

Nothing herein transfers any ownership of Your Data to University Bureauin its original form.

 

 

Data and Feedback of High Quality

 

Without limiting the foregoing, University Bureau does not evaluate the quality of Your Data in any way. The correctness of Your Data given by you to the University Bureau may be relied on by University Bureau, University Bureau Partners, and any third parties to whom University Bureau is entitled to disclose Your Data under this Agreement.

 

Any feedback you receive on Your Data is exclusively based on the compliance requirements of University Bureau Partners and is not the result of any specific examination of the data by the University Bureau or any judgment exercised by University Bureau regarding Your Data. Consent to Processing of Your Data.

 

The collection, processing, transmission, and disclosure of Your Data by the University Bureau, University Bureau Partners, and their service providers is an essential part of the University Bureau. You hereby expressly consent to the University Bureau's provision of Your Data to any University Bureau Partner, visa agencies, English test score organizations, professional bodies, service providers to the University Bureau (including our hosting providers).

 

University Bureau communications (including marketing and informational e-mails) regarding the University Bureau and University Bureau's products and services; and

University Bureau's collection, usage, and other processing activities as outlined in University Bureau's Privacy Policy.

 

Your personal information will be processed in accordance with the Privacy and Cookies Policy of the University Bureau.

 

Regardless of the foregoing, the University Bureau reserves the right to disclose any personal information necessary to comply with any applicable law, legal process, or governmental or regulatory authority requirements.

 

 

• Data Retention in Other Jurisdictions

 

You acknowledge that owing to the nature of the University Bureau, Your Data may be stored on servers located outside of Canada, over which the University Bureau has no direct control. Using the University Bureau, Your Data may become subject to the Applicable Laws of the jurisdiction in which such servers are located or the conditions of agreements governing the hosting of data on such servers for the duration that Your Data is hosted on such servers.

 

 

De-Identified Data

 

University Bureau may use the data you provide or will provide to third parties, Your Data, and any data related to the University Bureau, in aggregated form or in a manner that does not identify you, subject to University Bureau's Privacy Policy and UB may use that data for analytics and marketing to third parties. Any intellectual property rights in the output of the University Bureau's usage of any such De-identified Data will be owned by University Bureau.

 

 

Your Access Information

To allow you to use the University Bureau website, University Bureau will give you with necessary information (IDs, passwords). The Access Information is provided on the premise that it is personal to you and that no one other than you or your authorized representatives will be able to use it to access the University Bureau Website.

 

 

Your Representations and Warranties

 

you have reached the age of majority in your jurisdiction of residence and have the legal authority to enter into a binding legal obligation; 

 

you will not allow anyone other than yourself or your authorized designate to gain access to the University Bureau through your University Bureau account or otherwise using your Access Information; 

 

you will only use the University Bureau in accordance with this Agreement and Applicable Law;

 

You will comply with all applicable intellectual property laws in your use of the University Bureau and will not infringe, violate, or misappropriate the intellectual property rights of any third party; 

 

You will comply with any University Bureau Partner policies and procedures applicable to your Application; 

 

Your Data is true, accurate, current, and complete, and you will promptly notify University Bureau or update Your Data on the University bureau.

 

If you hired a Recruiter to give Your Data on your behalf to use the University Bureau, you must: (A) the Recruiter has a genuine educational interest in access to your educational records and information (the "Educational Records"); and (B) the Recruiter has access to such Educational Records in the United States.

 

At any stage of a visa application or proceeding, you will not seek immigration or visa-related advice from a Recruiter unless you have confirmed that the Recruiter complies with Applicable Law in the country to which you are applying and, if required, that the Recruiter has registration under such Applicable Law;

 

you will be solely responsible for all activities involving the University Bureau undertaken by you or your designates;

 

you will not use the University Bureau to provide commercial services to, or for the benefit of, any third party; 

 

you will not pay a related fee or other consideration to any unauthorized Recruiters for any immigration or visa-related advice unless they have confirmed to you that they are qualified under Applicable Law;

 

you have the legal right and authorization to enter into this Agreement, grant the rights and licenses set forth in this Agreement, use University Bureau, and post or upload any content to University Bureau's website or otherwise supply such content and Your Data to University Bureau;

 

You have all legal rights to use the University Bureau, including the right to access the Content, make the Application, and give Your Data in your home country and the jurisdiction where the University Bureau you are applying to is located.

 

you agree to obtain all necessary authorizations from all third parties for your use of any third-party data in conjunction with the University Bureau;

 

you are not located in a country that is subject to a Canadian or US Government embargo or sanctions that would prevent you from becoming a student; 

 

you are not listed on any Canadian or US Governmental or Regulatory Authority lists of prohibited or restricted parties;

 

You will guarantee that your use of the University Bureau does not disrupt, impair, or harm any software, system, network, or data utilized by anyone, including the University Bureau and other University Bureau users.

 

you will not use the University Bureau in any way to commit or attempt to commit a crime or to facilitate the commission of any crime or other illegal or tortious acts, such as infringement of intellectual property rights, fraudulent activities, deceptive impersonation, or activities that violate any third party's privacy rights;

 

you will not tamper with or compromise the University Bureau's security measures in any way;

 

You will not alter, edit, remove, or otherwise tamper with or compromise any Content or features accessible through the University Bureau website, including the forms, Content delivery, and display functions.

 

you will help the University Bureau and any Governmental or Regulatory Authorities in investigating or determining whether there has been a breach of this Agreement or Applicable Law by cooperating with the University Bureau and providing the information requested by the University Bureau; and

 

You will abide by the terms and conditions of any agreements you enter into with third parties, including the University Bureau Partners, the service providers for any Internet services you use in conjunction with the University Bureau, and the hardware providers for any mobile device or other computing equipment you use to access the University Bureau, to the extent that such agreements impose additional restrictions on your use of the University Bureau.

 

 

Use of the University Bureau: Restrictions and Limitations

 

Program Access 

You acknowledge that University Bureau has agreements with you to allow you to make an Application to University Bureau through the University Bureau. Not all educational study programs of such University Bureau Partners may be offered as Programs available to you through the University Bureau.

 

Policies of Usage

The University Bureau will be bound by the University Bureau's usage regulations, which will be supplied to you from time to time, including in electronic form by posting on the University Bureau's website. Limitations on data storage space and equipment and/or software requirements are examples of such rules. You are solely responsible for ensuring that such policies are followed.

 

Equipment

Except for University Bureau's computer systems and networks, you are solely responsible for the selection, implementation, installation, maintenance, and performance of any and all equipment, software, and services used in conjunction with using the University Bureau, including your choice and use of your Internet Service Provider.

 

Data Integrity and Back-up

You realize and accept that the University Bureau cannot guarantee data integrity and that backing up any of the data you use in association with the University Bureau is exclusively your responsibility.

The University Bureau is not developed or licensed for inherently dangerous, time-sensitive, or mission-critical use.

University Bureau will not:

 

Copy, reproduce, modify, enhance, improve, alter, reverse engineer, disassemble, deconstruct, translate, decrypt, reverse compile, or convert the University Bureau, in whole or in part, into human-readable form; 

distribute, assign, license, sublicense, lease, rent, transfer, sell, or otherwise provide access to the University Bureau, in whole or in part, to any third party on a temporary or permanent basis;

removing, defacing, covering, or otherwise obscuring any proprietary rights notice or identification on the Content (including, without limitation, any copyright notice); 

using the in any way that violates the University Bureau's use parameters;

 

attempting to hack the University Bureau or any communication initiated by or made through the University Bureau, or to defeat or overcome any encryption or other technical protection methods implemented concerning the University Bureau, data, Content, or programming transmitted, processed, or stored by University Bureau or other University Bureau users;

 

collect any information or communication about University Bureau users by monitoring, interdicting, or intercepting any process or communication initiated by the University Bureau website or by developing or using any software or other process or method that engages or assists in engaging in any of the aforementioned;

 

Use any type of bot, spider, virus, clock, timer, counter, worm, software lock, drop dead device, packet-sniffer, Trojan-horse routing, trap door, time bomb, or any other codes or instructions that are designed to monitor, distort, delete, damage, or disassemble the University Bureau or its ability to communicate and perform the Servicing.

 

Authorize, permit, or otherwise acquiesce in any third party engaging in, or attempting to engage in, any of the actions.

 

 

Modifications to the Terms and Conditions; Modifications to the University Bureau; Right to Edit and Remove Your Information; Suspension or Termination of Employment

 

University Bureau maintains the right to modify these Terms and Conditions at any time and without prior notice. Following any modifications to these Terms and Conditions, your continuing access to or use the University Bureau represents your acceptance of those changes. You are responsible for reviewing these Terms and Conditions regularly.

 

University Bureau reserves the right to update, suspend, or discontinue the University Bureau at any time and without notice, including the availability of any content and from time to time.

 

University Bureau reserves the right to review Your Data stored in files or programs on University Bureau's servers to verify your compliance with this Agreement, notwithstanding anything to the contrary herein. University Bureau reserves the right to delete or remove any of Your Data that it deems unlawful, obscene, abusive, or otherwise objectionable in its sole discretion.

 

University Bureau may, without responsibility, set limits on the University Bureau and terminate or restrict your access to parts or all of it. University Bureau will give you advance notice of such modifications, limitations, or discontinuances; nevertheless, you agree that such notification may not be possible in all cases and that the University Bureau will have no liability for its failure.

 

Suppose your use of the University Bureau constitutes, in University Bureau's sole discretion, a threat to University Bureau or any third party's computer systems, networks, files, materials, or other data, or a breach of this Agreement. In that case, the University Bureau reserves the right to revoke your access to the University Bureau for any abusive conduct or fraudulent use and cease the University Bureau temporarily or permanently.

 

If: (a) you breach this Agreement or the documents it incorporates by reference; (b) University Bureau is unable to verify or authenticate any information you provide; or (c) University Bureau believes that your actions may cause financial loss or legal liability, University Bureau may limit your activity, issue a warning, temporarily suspend, indefinitely suspend, or terminate your account and refuse to provide University Bureau to you, University Bureau may limit your activity, issue a warning, temporarily suspend, indefinitely suspend, or terminate your account

 

Partners, other users, or the University Bureau. University Bureau may take any additional legal, equitable, or technological action that it deems appropriate under the circumstances and the acts listed above. If this Agreement is terminated, the University Bureau will not be liable to you or any third person.

 

The University Bureau maintains the right to investigate any alleged violations of this Agreement.

 

For University Bureau to enforce the terms and conditions of this Agreement, you will cooperate with: (A) Governmental or Regulatory Authorities in the investigation of suspected criminal violations; (B) the University Bureau investigating academic fraud or other misdemeanors relating to your Application or otherwise; and (C) system administrators at Internet service providers, networks or computing facilities, and other content providers.

 

 

Your Responsibility to Report Errors

 

You agree to promptly and accurately report to University Bureau any actual or apparent errors, problems, non-conformities, or other difficulties and any other information reasonably requested by University Bureau to assist in resolving such errors, issues, non-conformities or other challenges. You hereby consent to the University Bureau collecting, processing, transmitting, and disclosing such information for the University Bureau.

 

Submissions

 

Any suggestions, bug reports, or other communications about the functionality of the University Bureau or University Bureau's website that you send to the University Bureau by any means (each, a "Submission") are considered non-confidential. They may be disseminated or used by University Bureau or any third party without compensation or liability to you, whether for inclusion in the University Bureau or otherwise.

 

You grant University Bureau, its affiliates, and successors a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, distribute, transmit, modify, develop, and prepare derivative works of any Submission on, through, or in connection with the Service, including to promote, improve, and creating the University Bureau. This provision does not apply to Personal Information covered by the Privacy Policy of the University Bureau.

 

Fees, Payment, and Taxes

 

Fees

You agree to pay all applicable fees in connection with the University Bureau, as specified in the University Bureau's regular price list, on the University Bureau's website, or as otherwise given to you. Fees for Canadian-related Applications are quoted and paid in Canadian dollars, whereas fees for USD-related Applications are quoted and payable in US dollars.

 

Depending on the country from which you are applying, other characteristics applicable to applicants, and the related likelihood of an Application being successful due to Governmental or Regulatory Authority visa approvals, University Bureau may require you to pay an Application processing deposit.

 

Information on the Application processing deposit and the countries it will apply to may be found on the University Bureau website. The University Bureau has the right to amend it at any moment. The University Bureau website outlines the circumstances in which an Application processing deposit is refundable and those in which an Application processing deposit will not be refunded to you.

 

THE FOLLOWING SITUATIONS WILL NOT RETURN YOUR APPLICATION PROCESSING DEPOSIT: (A) YOU FAIL TO PROVIDE THE REQUIRED DOCUMENTS TO PROCESS THE APPLICATION; (B) YOUR VISA APPLICATION IS REJECTED, OR (C) YOU CANCEL YOUR APPLICATION BEFORE RECEIVING AN ADMISSION DECISION.

 

Certain fees charged by University Bureau under this Agreement are set by University Bureau Partners or other third parties, and University Bureau has no control over the fee amount; instead, University Bureau remits such fees directly to the applicable University Bureau, a partner, or third party, and payment obligations are non-cancellable and fees paid are non-refundable.

 

University Bureau reserves the right to amend such prices with appropriate notice, which can be accomplished by updating University Bureau's standard pricing list, which is available on the website.

 

By continuing to use the University Bureau after such modifications, you agree to any additional or higher costs.

 

Suppose you pay fees with a credit card. In that case, you allow University Bureau or its third-party payment processor to charge your credit card automatically for any costs owed to University Bureau. You will be liable for all fees and penalties incurred because your credit card is declined for any reason.

 

The foregoing will not limit the University Bureau's ability to exercise any legal or equitable rights it may have in relation to collecting any amounts due under this Agreement. You will be responsible for paying all reasonable fees and costs incurred by the University Bureau, including legal fees, to collect any overdue amounts or enforce any provision of this Agreement.

 

Without limiting the above, University Bureau maintains the right to refuse to process any Application or portion thereof until all fees have been paid in full.

 

University Bureau will be entitled to charge interest on all outstanding amounts at the lesser of 1.5 percent per month or the maximum rate permitted by Applicable Law, such interest beginning on the due date for such payment, and any other rights and remedies available to the University Bureau.

 

Except for taxes based on University Bureau's net revenue, you are liable for and shall pay any taxes related to this Agreement. Unless otherwise specified, all amounts payable by you under this Agreement are exclusive of any tax, duty, levy, or similar government charge imposed by any jurisdiction, whether based on gross revenue, delivery, possession, or use of the University Bureau, the execution of this Agreement, or otherwise.

 

If you are compelled to withhold taxes from payments due under this Agreement, the amount owing will be automatically raised to balance the tax, such that the amount paid to University Bureau equals the amount owed.

 

You shall promptly provide to the applicable taxing authority copies of any official receipts showing payment of taxes owed under or in relation to this Agreement to the University Bureau.

 

 

Confidential Information

• Except to the extent necessary to conduct the Recruitment Services, you shall keep the terms of this Agreement and any information given by the University Bureau secret.

• You acknowledge that you may be exposed to Confidential Information during the term of this Agreement.

• Throughout the Term and beyond the termination of this Agreement, whether voluntarily or involuntary:

 

You will keep all Confidential Information in strict confidence, take all necessary precautions to prevent unauthorized disclosure, and will not, directly or indirectly, disclose, allow access to, transmit, or transfer any Confidential Information to a third party without University Bureau's knowledge and express written consent;

 

you will not use, disclose, or reproduce the Confidential Information except as necessary to receive the Services and with University Bureau's knowledge and express written consent; and 

 

You will immediately notify University Bureau in writing of any misappropriation, disclosure, conversion, or misuse of any confidential information you become aware of.

 

While Your Data is in University Bureau's control, University Bureau will use reasonable commercial efforts to safeguard and keep it confidential, including implementing organizational and technical measures to protect your Personal Information, subject to University Bureau's ability to disclose Your Data as permitted under this Agreement.

 

University Bureau may additionally keep and disclose Your Data to the following parties: I Governmental or Regulatory Authorities as required by Applicable Law: (ii) its professional advisers to the extent necessary to (A) allow University Bureau to comply with Applicable Law; or (B) defend or bring a claim arising from a breach of this Agreement.

 

The nondisclosure obligations under this Agreement will not apply to information that a Party can demonstrate: 

is, or becomes, readily available to the public other than as a result of a breach of this Agreement; 

was lawfully disclosed to a Party by a third party without any confidentiality obligation attached to such information; 

was lawfully known to a Party without any confidentiality obligation before the signing of this Agreement; 

Was lawfully known to a Party without any confidentiality obligation before signing.

Was independently produced or discovered by a Party outside of the execution of such Party's responsibilities under this Agreement, without reference to any Confidential Information acquired directly or indirectly from the disclosing Party.

 

Upon the University Bureau's request or the termination of this Agreement, you shall immediately return any Confidential Information in your custody or control to University Bureau (whether voluntary or involuntary).

 

Because damages may not be an adequate remedy for any breach of your obligations under this agreement, you agree that University Bureau and any other remedies available will be entitled to obtain relief in the form of a temporary or permanent injunction to enforce your obligations.

 

 

Intellectual Property

 

All right, titles, and interests in the University Bureau are retained by University Bureau or its third-party licensors. Copyright laws in Canada, the United States, and worldwide protect the University Bureau. In addition, the University Bureau may be protected by other intellectual property laws (including patent laws) and treaties.

 

Under this Agreement, you do not acquire any intellectual property or other proprietary rights, including any right, title, or interest in and to patents, copyrights, trade-marks, industrial designs, confidential information, or trade secrets relating to the University Bureau, or any part thereof, whether registered or unregistered. University Bureau or its third-party licensors retain any rights not expressly granted under this Agreement.

 

Term and Termination

This Agreement will begin when you accept these Terms and Conditions on the University Bureau website. Either Party may terminate it upon 30 days' written notice to the other Party for any reason, without cause.

·

University Bureau has the right to cancel this Agreement immediately and without cause if:

 

you break this Agreement materially and fail to correct the breach within 30 calendar days of the University Bureau notifying you of the violation; or

 

if you violate any of the statements you made in this Agreement; or

 

If University Bureau is unable to provide any part or all of the University Bureau as a result of (A) your breaches of this Agreement; (B) the acts or omissions of any third party (including any University BureauPartner); or (C) any Applicable Law or ruling issued in any form by a Governmental or Regulatory Authority.

 

 

Effect of Termination or Expiry

• If this Agreement is terminated or expires (whether by you or University Bureau), you shall stop using the University Bureau.

 

Any fees accumulated hereunder or payments payable before the effective date of termination or expiration shall not be affected if this Agreement is terminated or expires for any reason.

 

Neither Party's accrued rights or remedies are affected by the termination of this Agreement by either Party.

 

Any part of this Agreement that specifically indicates that it will continue to apply after the termination or expiration of this Agreement or that would survive the termination or expiration of this Agreement.

 

 

Disclaimers

 

THE UNIVERSITY BUREAU, INCLUDING FOR GREATER CERTAINTY, THE CONTENT, REFERENCES, LINKS, AND INFORMATION IN THE CONTENT, IS PROVIDED TO YOU “AS IS” WITHOUT WARRANTY OR CONDITIONS OF ANY KIND.

 

THE UNIVERSITY BUREAU HAS NO SPECIAL RELATIONSHIP WITH YOU OR ANY OTHER USER OF THE UNIVERSITY BUREAU. University Bureau is not liable in any manner for your application, data errors, or inability to get admission to your desired program(s) or University BureauPartner (s).

 

All concerns relating to Applications, Programs, and your failure to follow University BureauPartner policies are entirely between you and the appropriate University Bureau Partner. The University Bureau bears no duty or obligation in such matters.

 

You are entirely responsible for complying with Applicable Law and any Governmental or Regulatory Authorities requirements to acquire entrance into the nation where your Program is located.

 

While University Bureau has made reasonable measures to ensure that its agreements with its service providers secure Your Data, you understand that University Bureau is not liable for any acts or omissions of third parties with respect to such servers and the data stored on them. As a result, you hereby release University Bureau from any and all liability for any governmental or third-party action taken in such jurisdictions concerning such information and data or the servers on which Your Data is stored, and you acknowledge that you are solely responsible for backing up and retaining copies of such information and data.

 

University Bureau is not responsible or accountable for any use of the University Bureau (authorized or unauthorized) by any third party using your Access Information, and you assume full responsibility for such use of the University Bureau and any consequences resulting from such use.

 

If you use the University Bureau for a time-sensitive purpose, you agree that University Bureau will not be responsible for any claims or damages arising from such usage.

 

THE UNIVERSITY BUREAU WILL HAVE NO LIABILITY TO YOU OR ANYONE CLAIMING BY OR THROUGH YOU FOR THE UNIVERSITY BUREAU'S TIMELINESS OR CONTINUED AVAILABILITY.

Because certain countries prohibit the exclusion of certain warranties or liabilities, the limitations or exclusions set out above may not apply to you.

Your Concern

 

You agree to indemnify, defend, and hold University Bureau, its officers, directors, employees, and agents, as well as its parent company, subsidiaries, and affiliates, harmless from and against any and all claims, causes of action, demands, recoveries, losses, damages, fines, penalties, or other costs or expenses of any kind or nature, including reasonable legal and accounting fees, arising out of or in connection with:

your use of the University Bureau, as well as any reliance you place on any Content accessed from the University Bureau; or

your abuse or illegal use of the University Bureau; or

 

a violation of this Agreement by you; or

the infringement, violation, or misappropriation of any intellectual property or other right of a third party by you or any third-party gaining access to the University Bureau using your Access Information; or

 

Any applicable laws that you have broken.

 

Limitation of Liability

 

To the maximum extent permitted by Applicable Law, University Bureau will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, lost profits, loss of use, loss of data, personal injury, fines, fees, penalties, or other liabilities, whether or not University Bureauis advised of the possibility of such damages, resulting from any warranty, contract, tort, negligence, strict liability, or any other legal theory, whether or not University Bureau is advised of the possibility of such damages,

 

University Bureau's total aggregate liability in connection with or under this Agreement, your use of, or inability to use, the University Bureau, or any other claim related in any way to your use of, or inability to use, the University Bureau, will not exceed 1,000 Canadian dollars, to the maximum extent permitted by Applicable Law. The presence of one or more claims under this Agreement will not raise the maximum liability amount, just to be precise.

 

Nothing in this Agreement diminishes University Bureau's responsibility for fraud, bodily damage, or death to the extent that the university Bureau's carelessness or deliberate misconduct is the cause.

 

The restrictions in this section are based on the risk distribution between the parties. Even if any limited remedy described in this Agreement is determined to have failed in its basic purpose, the restrictions outlined in this Section will continue and apply.

 

BECAUSE SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THESE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

 

 

General

 

Except as expressly stated in this Agreement, the Parties' rights and remedies are cumulative. The phrases "including" and "including" indicate "without restriction" and "including without limitation," respectively. The section headers are for reference only and have no legal significance. Any rule of construction that any ambiguity in this Agreement will be resolved against the writing party will not be applied to this Agreement's interpretation.

 

Neither Party shall be responsible for delays caused by events beyond its reasonable control, except that this condition will not excuse non-payment of monies due under this Agreement.

 

Nothing in this Agreement shall be considered to form or suggest a joint venture, partnership, principal-agent, or employment relationship between the Parties. You will not act or claim to act as University Bureau's legal agent, enter into any arrangement on behalf of University Bureau, or otherwise bind or purport to bind University Bureau unless University Bureau expressly authorizes you to do so in writing.

 

Any notices, reports, or other communications required or permitted to be given under this Agreement must be in writing, including by email. They must be delivered by hand or sent by registered mail, courier, or facsimile to you or the University Bureau at the respective addresses as advised in writing.

 

Any such notices, reports, or other communications will be deemed received by the Party to whom they were addressed: I upon delivery by hand, (ii) five business days after being sent by registered mail, (iii) upon delivery by courier, as evidenced by the courier receipt, (iv) upon successful receipt confirmation report after being sent by facsimile, or (v) upon receipt by the sender of a delivery receipt confirmation if sent by email.

 

Unless explicitly given in writing and signed by the waiving Party, no waiver by either Party of a breach or omission by the other under this Agreement will influence the waiving Party. A Party's waiver of a specific breach or omission by the other Party has no bearing on or affects the waiving party's rights in a later breach or deletion of the same or different sort.

 

Suppose any term of this Agreement is invalid, unlawful, or unenforceable. In that case, that provision will be severable from the rest of the Agreement, and the remainder of the Agreement will be treated as if that provision had never been.

 

The laws of the Province of Ontario, Canada, will govern and construe this Agreement. The Parties expressly waive any right to a jury trial about any litigation or judicial procedure originating or pertaining to this Agreement. Choice of law principles will not be applied in construing, interpreting, or enforcing this Agreement. The University Bureau is only intended to be used in places where it is legal.

 

Recruiter hereby consents to the exclusive jurisdiction and venue of the courts in Toronto, Ontario, Canada, in any matters arising out of or about the use of the University Bureau, unless as prohibited by Applicable Law.

 

This Agreement contains the Parties' full agreement and supersedes all prior agreements and understandings about the subject matter.

 

You understand and agree that you are entering into a legally binding contract by clicking on the "I AGREE" button (or similar buttons or links as may be designated by the University Bureau to signify your acceptance of this Consent and your agreement to use the University Bureau). You agree to utilize electronic communication to enter into contracts, place orders, establish other records, and receive notices, policies, and descriptions of transactions begun or completed through the University Bureau, including the Application, by electronic transmission.

 

Furthermore, to the extent permissible by Applicable Law, you hereby waive any rights or obligations under any Applicable Laws in any country that require an original (non-electronic) signature, delivery, or preservation of non-electronic records. In judicial or administrative proceedings based on or relating to this Agreement, a printed version of this Agreement and any notice in electronic form will be admissible to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

 

The Parties have expressly agreed that this Agreement and any associated papers be written in English.
